Author, Avatar & Publishing Agreement

This Agreement is entered into between Digital Lean Management Kft ("Learning Frontier" or the "Company") and the Author.

1Purpose of the Platform

Learning Frontier.AI is a digital learning platform that enables users to:

• Read the Author's ebook(s) within a digital reader environment
• Interact with an AI-based avatar representing the Author through:
  • Text-based chat
  • Voice conversations
  • Face-to-face video conversations

All features are designed exclusively for learning, reflection, ideation, personal development, and coaching-like inquiry and simulated reflective dialogue. The platform does not provide professional, legal, medical, HR, or operational advice.

2Author Content

"Author Content" includes:

• Ebook(s) authored or controlled by the Author
• Written frameworks, methodologies, and supporting materials
• Audio and video recordings provided for avatar creation
• Persona, tone, and behavioural guidance supplied by the Author

3Ebook Distribution Licence

The Author grants Learning Frontier a non-exclusive, worldwide licence, for the term of this Agreement, to:

• Host and display the Author's ebook(s) within the Learning Frontier digital reader
• Sell access to the ebook(s) directly on the platform
• Apply standard reader features (navigation, highlighting, formatting)

Learning Frontier shall not:

• Distribute ebooks outside the platform
• Allow unrestricted download or export
• Modify the substantive content of the ebook

4AI Interaction Licence (Text, Voice, and Face)

The Author grants Learning Frontier a limited, non-exclusive, revocable licence to use the Author Content solely to enable AI-driven interactions that:

• Reference and interpret the Author's work
• Simulate reflective dialogue consistent with the Author's principles
• Support learning and inquiry, not instruction or advice

AI interactions:

• Are probabilistic and non-deterministic
• Do not constitute verbatim reproduction of authored text
• Complement, and do not replace, reading the ebook

5Name, Image, Voice, and Likeness (Avatar Consent)

The Author grants Learning Frontier a limited, revocable licence to use the Author's:

• Name and professional biography
• Likeness (including facial representation)
• Voice (including voice cloning)

solely to create and operate an AI-based avatar within the Learning Frontier platform.

The Author acknowledges that:

• The avatar is an artificial simulation, not the Author
• Outputs are not direct statements by the Author
• Behaviour may vary across interactions

Learning Frontier shall not:

• Use the Author's likeness or voice outside Learning Frontier
• License or sell the avatar to third parties
• Use the avatar for unrelated marketing without written consent

This Agreement, including Schedule 1, should be read together with the Privacy Policy and Illinois Biometric Information Notice.

6Safeguards and Author Protections

Learning Frontier shall:

• Take reasonable steps to avoid material misrepresentation
• Provide a mechanism for the Author to raise concerns
• Temporarily suspend the avatar if serious reputational or legal risk arises

Learning Frontier shall also:

• Store the Author's ebook files and related digital content on secure, access-controlled cloud infrastructure hosted on Microsoft Azure, using industry-standard encryption at rest and in transit
• Implement reasonable technical and organisational security measures designed to safeguard the Author's intellectual property against unauthorised access, copying, extraction, or distribution. Such measures may include, without limitation:
  • Restricting ebook access to in-platform viewing only, with no unrestricted downloading
  • Applying user-specific access controls and technical markers intended to deter unauthorised copying or redistribution
  • Monitoring platform usage patterns for potential abuse, in accordance with applicable data protection laws
• Restrict access to Author Content to authorised systems and personnel solely for the purposes of operating, maintaining, and securing the Learning Frontier platform

These measures are intended to protect the confidentiality and integrity of the Author's intellectual property, without guaranteeing absolute security.

7Exclusivity

This Agreement is non-exclusive. The Author may publish, license, and operate independently elsewhere.

8Compensation

The parties agree that:

• Learning Frontier retains 100% of platform subscription revenue
• The Author retains 100% of ebook revenue on Learning Frontier
• No royalties apply to platform subscriptions

An optional referral programme may apply under Schedule 2.

9Warranties

The Author warrants that:

• They own or control all necessary rights
• Content does not infringe third-party rights
• Proper consent has been granted for avatar materials

10Term and Termination

Either party may terminate with thirty (30) days' written notice.

Upon termination:

• No new users may access the Author's ebook or avatar
• Existing users may retain access for a wind-down period of up to twelve (12) months
• After the wind-down period, the ebook, avatar, likeness, and voice shall be deleted

11Assignment

Learning Frontier may assign this Agreement as part of a merger, acquisition, or asset sale, with no expansion or diminution of rights.

12Governing Law

This Agreement is governed by the laws of England and Wales.
